1) Prices & Payments:

• All prices are in US funds. Payments must be made via wire transfers, ACH, debit card, credit card, or cash. Merchandise will not be released until funds have cleared in our account. Orders must be prepaid. Deposits are Non-Refundable in the case it is accepted. Customers understand that some payment methods (EX: Credit Card) entail extra lead time for it to process on our side
• All sales are final. Once payment has been made, no refunds, exchanges, or returns will be accepted, except as required by law.

2) Minimum Purchase Amounts:

• Minimum order quantities apply on an item-by-item basis. There is a general $3,000.00 minimum order per purchase.

3) Shipping & Deliveries:

• Shipping is arranged by customers who may schedule or arrange their own shipping or freight. Freight shipping can be arranged by Groovin Fulfillment LLC upon request when available.
• Buyer assumes responsibility for all shipping or freight charges unless otherwise agreed upon and specified on their invoice. Groovin Fulfillment LLC is not responsible for delays caused by factors beyond its control, including weather, personal or transit delays.
• Insurance for shipments is the sole responsibility of the buyer, even if Groovin Fulfillment LLC arranges the shipment. Groovin Fulfillment LLC assumes no liability for merchandise damaged in transit. Any issues with packages/pallets being lost or damaged must be dealt with directly through the carriers or insurance companies.

4) Chargebacks and Disputes:

• By making a purchase, the buyer agrees to waive their right to file a chargeback against Groovin Fulfillment LLC. Initiating a chargeback will result in the buyer’s immediate loss of access to all purchased merchandise, regardless of the outcome of the chargeback investigation.
• Groovin Fulfillment LLC reserves the right to seize any merchandise in the buyer’s possession in the event of a chargeback dispute, pending resolution. The buyer agrees that initiating a chargeback constitutes a material breach of these terms, resulting in forfeiture of any rights or claims related to the transaction.

5) Dispute Resolution:

• Any disputes arising under these terms shall be resolved exclusively in the courts located in the State of Florida. By purchasing, the buyer consents to this jurisdiction and venue for all legal proceedings. In the event of legal action, the prevailing party shall be entitled to recover its attorneys’ fees and costs.

6) Limitation of Liability:

• Groovin Fulfillment LLC is not liable for any direct, indirect, incidental, or consequential damage arising from the use or inability to use purchased products.
• PLEASE NOTE. We cannot take responsibility for any item that is restricted to sell on Amazon, restricted to send to FBA, or restricted to sell on any other marketplace. It is the buyer’s responsibility to make sure before buying that he/she/they is eligible to sell these products. We do not claim to be authorized reseller or distributor of any of these brands we are offering unless otherwise stated.  We also cannot take responsibility for any item that becomes restricted after the sale. We will not be able to cancel any order for this reason after receiving a purchase order or payment. No refund will be issued for any of these reasons, once Groovin Fulfillment LLC mutual agreement with a buyer is confirmed then an order is considered finalized, whether in writing or by oral agreement, it CAN NOT be cancelled & the order is nonrefundable

7) Governing Law:

• These terms and conditions are governed by the laws of the State of Florida. In the event of a dispute between Groovin Fulfillment LLC and the buyer, all litigation or Mediation will take place in the State of Florida or Illinois depending upon Groovin Fulfillment LLC approximate location to either state. The buyer agrees to pay all the fees involved.
• Buyers shall have required permits and licenses to conduct business legally in wholesale but not limited to a resale certificate. By signing this agreement, you are acknowledging that you do in fact have a resale certificate and that you are tax exempt on your purchase. We take no responsibility for dealing with the IRS or Government concerning taxes.

8) Acceptance of Terms:

• By placing an order, the buyer acknowledges and agrees to these Terms of Sale. It is the buyer’s responsibility to read and understand these terms prior to making a purchase.
• By accepting these terms, you understand Groovin Fulfillment is a wholesaler and distributor of both closeout and brand deals and that not all deals have supply chain documents to give to clients nor are we required to provide unless by the Law
• Lead Times are estimates and the buyer agrees to give Groovin Fulfillment a reasonable amount of time to preorder the merchandise in the case that it is not in stock. Most of the merchandise we offer to clients is in stock and in our warehouse, however, we do sometimes offer products that we do not own or that are inbound to our warehouse. With that said it’s hard to guarantee arrival times as shipments can be delayed so buyers waive all rights to charge back in the case of shipping delays.
• Unless otherwise stated, Groovin Fulfillment LLC does not claim to have merchandise in stock. A reasonable period will be given to Groovin Fulfillment LLC to process and ship all orders. This does not include lead time as they may be given to you either through email or orally.

9) Amendments to Terms:

• Groovin Fulfillment LLC reserves the right to amend these terms at any time without prior notice. The latest version of the terms will be posted on our website and will apply to all subsequent purchases.

10) Storage Fees:

• Groovin Fulfillment LLC charges a storage fee of $50 per month per pallet for stored merchandise.

For individual boxes exceeding dimensions of 12x12x12 inches, a storage fee of $12 per box per month applies.

• Storage fees are calculated monthly and must be paid in full before merchandise is released. All storage must be picked up within 14 days of being notified that they are ready to ship or that they are in stock. It’s the buyers responsibility to setup a shipment to remove of the storage location.

11) Return Policy

• NO RETURNS. ALL SALES ARE FINAL. IN the event there was misinformation during the transaction, it must be reported to Groovin Fulfillment LLC within 3 business days of receiving the merchandise. If Groovin Fulfillment initiates a “Buy Back”, it may be subject to a restocking fee up to 45% in regard to product. Note: Groovin Fulfillment sells merchandise in conditions other than just brand new. It is the buyer’s responsibility to ensure they read all descriptions and details in product offerings.

12) Cancelations:

• ALL ORDERS ARE FINAL. NO CANCELATIONS. We constantly have people pay for items and after the deal is done, they realize they can get a cheaper price elsewhere or that they are restricted to sell the item or they have issues regarding their product or they have buyers remorse and they wish to cancel their item or if they don’t want to wait any longer without a reasonable period of time. Purchase orders and submitting payment are legally binding agreements to purchase the merchandise! NO CANCELLATIONS WILL BE ALLOWED FOR THESE REASONS! By signing this agreement, the buyer agrees that if they submit a purchase order, they are submitting a legal document guaranteeing that they are purchasing the goods and that they will submit a payment within 5 business days unless there is lead time and it is mentioned on their invoice. Failure to remit payment result in Groovin Fulfillment LLC acquiring counsel with an attorney to pursue you for the funds, which you are obligated to pay. Buyers pay for all litigation fees.

13) Prep:

• If included in your transaction with Groovin Fulfillment LLC involves us bundling merchandise or preparing your order for Amazon FBA or Walmart WFS, charges in the range of $0.35-$0.60 per SKU label, $0.45 per bundling / poly bagging, and $1 per box label may apply unless otherwise agreed upon. In general, most merchandise over $10 will include FREE prep unless otherwise stated. FBM Prep per unit is around $1.50-$2.00 with our partner company and rates drop with volume

14) Additional Provisions:

• Any unauthorized reversal of payment will be fully pursued permissible by law, including filing claims for damages, interest, and fees.
• Buyers engaging in unauthorized reversals or chargebacks will be reported to relevant authorities and credit agencies, as applicable.

By completing a purchase with Groovin Fulfillment LLC, the buyer explicitly agrees to these terms, including but not limited to the chargeback policy and dispute resolution process outlined above. The buyer agrees they themselves as an individual listed above is liable along with any members of buyer’s company.
